Legal Aspects of Entrepreneurship

This course will enable students to explore the legal framework within which the entrepreneur must evolve. In addition the technological aspects and tax considerations for starting and developing new ventures have become intrinsically linked with entrepreneurial field. From incorporating a new venture to operating it on day by day basis and ensuring its financial success, legal survivability and sustainability the law, technology and tax considerations are critical for every entrepreneur. The Entrepreneur: Creativity and Innovation

This course will examine the full array of topics and sub-topics that are critically pertinent to the entrepreneur including-but not exclusively-the following: What constitutes the essence of the entrepreneur or the entrepreneurial mind? identifying opportunities that can arise from challenges, wants and/or needs, preparing an effective, practical and realistic business plan. In addition the course will also focus on the process of assembling the new venture team, the importance of "ethics" for the entrepreneur and its ensuing benefits, evaluating a standing, emerging or new enterprise, financing related to the proper functioning and long-term growth of the enterprise, the entrepreneur's choices including franchising, and the legal parameters within which an enterprise must operate. Small Business Entrepreneurship

This course we will examine how entrepreneurs undertake the tasks necessary for developing entrepreneurial ventures, both independently and within corporate settings. Students will also explore how entrepreneurs find, screen, and evaluate ideas and new business opportunities by developing a business concept. A business concept identifies particular customers and benefits and then specifies how these benefits are provided to customers through explicit channels of distribution. Justin Giordano

Scanning the Business Environment

Scanning the Business Environment is a core course for Empire State College's MBA program. Upon successful completion of this course, students will understand the strategic management process and be able to use selected tools that help firms gain a competitive advantage in dynamic domestic and international markets. International Business Law

The aim of this course is to probe the global legal environment for international business. This is an area that every global manager must be familiar with given the complexity and interdependence of global markets.

The course reviews international law and organizations, the process for international dispute resolutions, sales contracts and terms of trade, liability of air and sea carriers in the transportation of goods across the globe, bank collections, trade finance and letters of credit.

This course also compares, contrasts and analyzes global, international and U.S. trade law as impacted by GATT law, the World Trade Organization, NAFTA, E.U. trade rules and regulations, unfair trade, and laws governing access to foreign markets and exports, as well as legal issues relating to global environmental, host-country tax, corporate, employment, privatization and currency risk.
